Terms of Service

Agreement

By accessing or using Canvosity ("the Service"), you agree to these Terms. If you do not agree, do not use the Service. We may update these Terms from time to time — continued use after changes constitutes acceptance.

If you accept these Terms on behalf of an organization, agency, or other entity, you represent that you have authority to bind that entity to these Terms. References to "you" include the Account holder and all Users authorized under the Account. The Account holder is responsible for the actions of all Users under the Account and for managing their access.

What Canvosity provides

Canvosity is a web-based platform for designing, previewing, and exporting HTML5 banner advertisements. We provide the tools; you own your creative work. Canvosity does not serve, traffic, host for distribution, or measure advertisements — those functions are performed by the ad networks, demand-side platforms (DSPs), and ad servers you choose to use.

Your account

  • You must provide accurate information when creating an account.
  • You are responsible for keeping your login credentials secure.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at [email protected] if you suspect unauthorized access.

Acceptable use

You agree not to:

  • Use the Service for any illegal purpose or to violate any laws.
  • Upload content that infringes on intellectual property rights of others.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated scripts to collect data from the Service without permission.
  • Resell or redistribute the Service itself without written consent.
  • Create advertising content that is deceptive, misleading, or that violates applicable advertising regulations (including the Competition Act, CASL, FTC Act, ASC code, or equivalent laws in any jurisdiction where the ads run).
  • Create advertising content that promotes adult material, illegal drugs, weapons, gambling, regulated financial products, or other categories prohibited by the major ad networks or DSPs, except where you hold the required licenses and disclosures.
  • Create political advertising without the disclosures required by applicable law.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity, in advertising content.

We reserve the right to suspend or terminate accounts that violate these terms.

Your content and intellectual property

  • You retain full ownership of all projects, banner ads, images, and other content you create or upload using Canvosity.
  • We do not claim any intellectual property rights over your content.
  • You grant us a limited license to host, store, and process your content solely for the purpose of operating and providing the Service to you.
  • You are responsible for ensuring you have the right to use any assets (images, fonts, stock photography, talent likenesses, trademarks, etc.) you upload, and for complying with the licenses governing them.

Payment and billing

  • Paid plans are billed in advance on a monthly or annual basis, in Canadian dollars (CAD) unless otherwise specified.
  • All fees are non-refundable except where required by law.
  • We may change pricing with 30 days' notice. Existing subscriptions continue at their current rate until the next renewal.
  • If payment fails, we may downgrade your account to the free plan after a reasonable grace period.

Ad-network and platform compatibility

Canvosity targets the IAB HTML5 specification and applies validation checks against published ad-network and DSP guidelines (including Google Display & Video 360, Google Ads, and others) to help you identify common compliance issues before export.

However, ad-network, DSP, and exchange acceptance is determined solely by those platforms, and their specifications may change at any time without notice to us. Validation warnings provided by the Service are advisory only. Canvosity makes no warranty that exported creatives will be accepted, served, served correctly, or perform as expected on any specific ad network, DSP, exchange, or publisher. You are responsible for testing creatives in your destination platform(s) before launching paid media.

Service availability

We make best efforts to maintain high availability and uptime of the Service. However:

  • We do not guarantee uninterrupted or error-free operation.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We may need to perform emergency maintenance without notice to address security or stability issues.
  • Third-party services we depend on (hosting, CDNs, payment processing, headless-browser rendering, email delivery) may experience outages beyond our control.

Features identified as "beta", "preview", or "experimental" are provided as-is, may change or be removed without notice, and are explicitly excluded from any warranty or service-level commitment.

Data protection

We take reasonable technical and organizational measures to protect your data, including:

  • Encryption of data in transit (HTTPS) and at rest.
  • Restricted access to production systems.
  • Regular security reviews and updates.

No system can guarantee absolute security. Our commitment is to apply industry-standard practices and respond promptly to any security incidents. See our Privacy Policy for details on how we handle your data.

Limitation of liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or compatibility with any specific ad network or platform.
  • Canvosity provides creative tooling only. We do not serve, traffic, or measure advertisements. Click-tracking, impression delivery, conversion measurement, brand safety, and campaign performance are the sole responsibility of you and your ad-serving platforms. Canvosity is not liable for lost revenue, lost impressions, rejected flights, makegoods, or any campaign-performance damages arising from creative produced with the Service, whether due to a defect in the Service or otherwise.
  • Canvosity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • Canvosity shall not be liable for any damages arising from interruption of service, data loss, unauthorized access to your data, or any other matter relating to the Service.
  • The Service incorporates third-party providers (including hosting, CDN, payment processing, email delivery, and headless-browser rendering). Canvosity is not liable for any act, omission, outage, performance degradation, or breach by such third-party providers.
  • In no event shall Canvosity's total cumulative liability exceed the greater of (a) one hundred Canadian dollars (CAD $100) or (b) the amount you paid Canvosity for the Service in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Canvosity, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including, without limitation, claims of copyright infringement, trademark infringement, right of publicity or privacy, defamation, font or stock-asset license violations, or talent / model-release violations.
  • Content you create or upload using the Service, including any advertising content that violates applicable advertising regulations (such as the Competition Act, CASL, FTC Act, ASC code, or equivalent laws).

Termination

  • You may cancel your account at any time by contacting us or through your account settings.
  • We may suspend or terminate your access if you violate these Terms, with notice where reasonably possible.
  • Upon termination, your right to use the Service ceases immediately.
  • We will delete your data within 30 days of account closure, except where retention is required by law.

Survival. Sections governing intellectual property, indemnification, limitation of liability, governing law, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.

Dispute resolution

The parties shall first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration seated in Vancouver, British Columbia, before a single arbitrator, conducted in English, under the rules of the ADR Institute of Canada (ADRIC) or the British Columbia International Commercial Arbitration Centre (BCICAC), at Canvosity's election. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in any court of competent jurisdiction without waiving this clause.

Individual basis only. You agree to resolve disputes with Canvosity on an individual basis. You waive any right to participate in a class action, class arbitration, consolidated action, or representative proceeding. You waive any right to a trial by jury to the extent permitted by applicable law.

Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of British Columbia for any matter not subject to arbitration under the Dispute Resolution section.

Force majeure

Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or utility outages, cyberattacks, third-party service failures, or pandemics. Payment obligations are not excused by this section.

Export and trade controls

You may not use or access the Service from any jurisdiction subject to comprehensive Canadian, US, EU, or UN sanctions, and you represent that you are not on any restricted-party or sanctions list maintained by those jurisdictions. You are responsible for complying with all applicable export-control and trade-sanctions laws.

General

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Canvosity and supersede any prior agreements on the same subject matter.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Notices. We may give notice to you by email to the address on your Account, or by posting to the Service. You may give notice to us at [email protected].
